Greensboro-based Guerrilla RF Seeks to Raise $1.9M

A Greensboro, North Carolina-based company wants to raise $1.9 million in shares in a private stock offering, according to a Securities and Exchange Commission filing.

Guerrilla RF Inc. filed the Form D on March 7. The company received commitments of almost $1.7 million of the entire amount, but no sale has been finalized, according to the filing.

It is estimated that roughly $150,000 of the proceeds might be used for payment of executive officers, directors or promoters, according to the filing.

Guerrilla RF, a privately held company, provides monolithic microwave integrated circuits (MMICs) for the wireless infrastructure market.

Ryan Pratt is the founder and chief executive officer. His experience includes director of engineering at Skyworks Greensboro design center, which he founded, and engineering manager of RFMD’s Network Components Product Line Wi-Fi front end group.

Companies relying on a Reg D exemption do not have to register their offering of securities with the SEC, but they must file what’s known as a Form D electronically with the SEC after they first sell their securities.
