A Durham-based hospitality and hotel services company, Memento Mori, sold $700,000 in shares in a private stock offering, according to a Securities and Exchange Commission filing.

The company filed the Form D on March 1. It did not disclose what it intended to do with the proceeds.

Memento Mori is owned and operated by Colin and Deanna Crossman and was founded in 2007. The company, which also operates under the name of The King’s Daughters Inn, is expected to generate approximately $850,000 in annual revenue for 2017.

The King’s Daughter Home was a historic building that was built in 1903 and housed a non-denominational Christian organization dedicated to philanthropy and education. Throughout the century it was supported by the Duke family and grew into subsidized housing for single, aging women.

In 2009, after two years of renovations, The King’s Daughters Home reopened as The King’s Daughters Inn, a boutique bed and breakfast intended to serve Duke University and the surrounding areas.

Companies relying on a Reg D exemption do not have to register their offering of securities with the SEC, but they must file what’s known as a Form D electronically with the SEC after they first sell their securities.

The form can be found here.
