Former Krispy Kreme Exec Raising $250,000 for Winston-Salem Company

A Winston-Salem-based company backed by a former Krispy Kreme Doughnuts Inc. executive filed Friday to raise $250,000 in equity, according to a Securities and Exchange Commission filing.

Steve Lineberger, who served as president of Krispy Kreme’s U.S. franchise operations until 2013, signed a Form D filed by SneeZ LLC on Jan. 13 alongside Charles Johnson of Charlotte, William Satterwhite of Winston-Salem and Steve Hodges, also of Winston-Salem.

A trademark application filed for SneeZ in October 2016 classifies the requested trademark under an electrical and scientific apparatus class. The Friday filing lists SneeZ as a technology company.

Lineberger previously served as president of ABT Power Management Inc., a privately held industrial power company based in Greensboro, North Carolina.

Both Satterwhite and Hodges are affiliated with Wake Forest Baptist Medical Center in Winston-Salem, where Satterwhite serves as the chief health and wellness officer since 2015 and Hodges works as a pediatric urologist.

The Delaware-incorporated company has yet to sell any of the offering’s equity. There is no minimum investment accepted from any outside investor, and the offering is not being made in connection with a business combination transaction.

SneeZ does not intend the offering to last more than one year, and no money raised will go toward executive payments.

SneeZ claimed a Rule 506 (b) exemption for the filing. Companies relying on the Rule 506 exemption do not have to register their offering of secrutieis with the SEC, but they must file what’s known as a Form D electronically with the SEC after they first sell their securities
