Charlotte-based South Park Grill Files to Raise $2.5 Million

1/5/17

South Park Grill LLC filed Thursday to raise $2.5 million in equity, according to a filing with the Securities and Exchange Commission.

So far, the restaurant company has sold $250,000 through one investor with $2.25 million total remaining to be sold.

South Park Grill filed a Form D signed by Gregory Currie and John Harris on Jan 5. Currie is one of the original developers of Charlotte Golf Links, and Harris is CEO of real estate firm Lincoln Harris.

South Park Grill is located at 4725 Piedmont Row Drive Suite 800 along with the Terrace Café, Georges Brasserie, BRIO Tuscan Grille and Del Frisco’s.

The company was formed in 2016 and declined to disclose its revenues.

This was a new notice in all equity with the first date of sale on Dec. 22, 2016.

The offering is not being made in connection with a business combination transaction, none of the money will go toward executive salary, and the minimum investment accepted from any outside investor is $250,000.

The only clarification on the form was that Harris has an indirect equity interest in the landlord entity.

South Park Grill claimed a Rule 506 (b) exemption for the filing. Companies relying on the Rule 506 exemption do not have to register their offering of securities with the SEC, but they must file what’s known as a Form D electronically with the SEC after they first sell their securities.
